Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the RunSentry LLC services, applications, and related features (the "Service"). RunSentry LLC is a Wyoming limited liability company ("RunSentry", "we", "us", or "our"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer"). Your use of the Service is also subject to the RunSentry Privacy Policy, which is incorporated into these Terms by reference.

2. The Service

The Service provides voice monitoring and automated call validation workflows. Features may include test case definition, execution of runs and campaigns, capture of run evidence (such as recordings or transcripts where enabled), and routing of run outcomes or alerts to destinations configured by Customer.

3. Accounts and Access
  • Accounts are provisioned and managed by authorized administrators.
  • You are responsible for all activity under your account.
  • You must safeguard credentials and restrict access to authorized users.
  • We may suspend or restrict access if use creates security, compliance, or operational risk.
4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or contractual obligation.
  • Place calls or communications without required consent or notice.
  • Attempt unauthorized access, probing, or security testing.
  • Reverse engineer or circumvent Service controls.
  • Transmit malware or unlawful or infringing content.
5. Customer Responsibilities
  • You are responsible for all phone numbers, datasets, routing logic, and configuration you provide.
  • You must ensure you are legally permitted to place calls to all destination numbers.
  • You are responsible for compliance with all telephony and call recording laws, including consent and disclosure requirements.
  • You are responsible for defining and enforcing your internal data retention requirements.
6. Evidence and Call Content
  • The Service may store run evidence such as recordings, transcripts, logs, and step outcomes depending on configuration.
  • Evidence may contain sensitive operational data and should be protected by Customer controls.
  • Transcript accuracy and classifications may vary due to audio quality, network conditions, or third-party provider behavior.
7. Third-Party Services

The Service relies on third-party providers, including telephony, hosting, and delivery services. Third-party services are governed by their own terms. We are not responsible for third-party outages, delays, delivery failures, or changes.

8. Confidentiality

Each party agrees to protect the other party's confidential information using reasonable care and to use it solely for purposes of providing or using the Service.

9. Intellectual Property

The Service and its underlying software, systems, and interfaces are owned by RunSentry and protected by law. Customer retains ownership of Customer-provided data. Customer grants RunSentry a limited license to process such data solely to operate the Service.

10. Payment

Payment obligations, billing cycle, and subscription terms are as specified in the applicable order form or agreement between RunSentry and Customer. Failure to pay amounts when due may result in suspension of access.

11. Service Availability and Changes

The Service may change over time, including feature modifications, maintenance, or discontinuation of components. The Service is provided on an as-available basis.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, consequential, or punitive damages. Our total liability will not exceed the amounts paid by Customer for the Service in the twelve (12) months preceding the claim.

14. Indemnification

Customer agrees to indemnify and hold us harmless from claims arising from Customer's misuse of the Service, including unlawful calling, lack of consent, or Customer-provided data and configuration.

15. Suspension and Termination
  • We may suspend access immediately for material violations of these Terms or where continued use creates security or legal risk.
  • Either party may terminate for convenience with thirty (30) days written notice, unless a separate order form specifies otherwise.
  • Upon termination, Customer access ends. Customer will have thirty (30) days following the termination date to export their data. After that period, data will be deleted in accordance with our retention policies.
16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved in the federal or state courts located in Wyoming, and both parties consent to jurisdiction in those courts.
